Parties and Scope
Last updated October 25, 2026. This Service Access Agreement (“Agreement”) is between Tax Wallet Inc., a Florida corporation (Florida Document No. P23000077808), doing business as TaxWallet (“TaxWallet”), and the office, service bureau, partner, developer or other business that accepts it (“Customer”).
It applies to every Customer that receives access to the TaxWallet platform, sandbox or APIs for business purposes. Customer is a Business Customer under Section 18 of the Terms of Service. This Agreement adds to the Terms of Service, the Acceptable Use Policy and the Billing & Refund Policy, which also apply. Words defined in the Terms of Service have the same meaning here.
If Customer and TaxWallet have signed a separate written agreement (for example a partner services agreement), that signed agreement controls where it expressly differs from this Agreement, except as Section 14 provides for dispute resolution.
1. Access Granted
TaxWallet grants Customer a limited, non-exclusive, non-transferable, revocable right, during the term, to access the platform and APIs within the scope TaxWallet approves for Customer (for example returns, IRS e-file transmission, bank-product submission, offices and EFINs), solely for Customer’s internal business and its own clients.
2. Sandbox and Production
2.1 Sandbox access is for development and testing with test data only. No real taxpayer data may be used in the sandbox.
2.2 Production access is granted only after Customer completes TaxWallet’s onboarding, any IRS testing that applies, a security review and any bank or regulatory approvals, and TaxWallet confirms production access in writing. Production endpoints and credentials are confidential.
3. Credentials and Keys
Customer keeps API keys, signing keys and credentials secret and secure, limits them to authorized people and systems, and tells TaxWallet at legal@taxwallet.ai or support@taxwallet.ai within 24 hours of any suspected compromise. Keys are shown once and cannot be retrieved later; lost keys are revoked and reissued. Customer is responsible for all activity using its credentials. TaxWallet may rotate or revoke keys at any time for security.
4. Acceptable Use and Limits
Customer follows the Acceptable Use Policy, published rate limits and technical requirements (including encrypted transport and request signing). Customer does not scrape, load test without written consent, circumvent controls, reverse engineer or try to access other customers’ data. TaxWallet may throttle, suspend or block traffic that threatens the platform.
5. Customer’s Responsibilities to Its Clients
5.1 Customer is the party responsible to its own taxpayers and clients and for the returns it prepares or transmits (Section 2 of the Terms of Service). Customer obtains every consent and authorization the law requires before submitting data or starting any action through the platform, including 26 U.S.C. §7216 consents, E-SIGN consents, bank-product disclosures and authorizations, and communications consents.
5.2 Customer complies with the FTC Safeguards Rule, IRS Publications 1345, 3112 and 4557, state privacy and breach-notification laws and the bank-partner requirements that apply to it, and keeps its own written information security program.
5.3 Customer tells TaxWallet within 48 hours of any security incident that may affect data processed through the platform.
6. Confidentiality
Each party protects the other’s confidential information with at least reasonable care, uses it only for this Agreement and shares it only with people who need to know it and are bound by similar duties. TaxWallet’s documentation, endpoints, pricing and security details are TaxWallet confidential information.
7. Intellectual Property; No Reverse Engineering
TaxWallet owns the platform, APIs, documentation, SDKs and all improvements to them. Customer may not copy, modify, reverse engineer, decompile, disassemble or try to derive source code, models, prompts or algorithms, including from obfuscated or compiled builds, or use the platform to build a competing product. TaxWallet may use any feedback Customer gives without obligation.
8. Non-Circumvention and Non-Solicitation
During the term and for 24 months after it ends, Customer will not use TaxWallet’s confidential information or relationships (including banks, transmitters and partners introduced through TaxWallet) to bypass TaxWallet or contract directly to TaxWallet’s detriment, and will not solicit TaxWallet’s employees or contractors to leave TaxWallet.
9. Fees
9.1 Customer pays the fees shown in Customer’s order or account, or in a signed agreement, under the Billing & Refund Policy.
9.2 The transmitter fee is TaxWallet’s. TaxWallet sets it and keeps it, and it is separate from TaxWallet’s software fees. Customer sets its own fees to its clients, subject to the law and bank-partner rules. Bank-product fees are set and charged by the issuing bank.
9.3 Introductory offer. New offices activating for the 2027 filing season receive the offer in Section 21 of the Terms of Service: no TaxWallet per-return software fee for the first 15 federal returns accepted by the IRS, and setup at no charge. The offer does not waive bank-product fees, the transmitter fee, third-party fees, taxes, penalties or Customer’s own fees.
9.4 No money-back guarantee. Fees paid to TaxWallet are not refundable, except where the law requires otherwise or under Section 7 of the Terms of Service.
9.5 Unpaid amounts accrue interest, and Customer pays all costs of collection, including reasonable attorneys’ fees, as Section 7.2 of the Terms of Service provides. A chargeback of validly incurred fees is a material breach.
10. Audit and Regulatory Cooperation
On reasonable notice, Customer gives TaxWallet the information and records reasonably needed to verify compliance with this Agreement, security requirements and the law, and cooperates with any IRS, bank-partner or regulatory review.
11. Suspension and Termination
TaxWallet may suspend access immediately for a security risk, suspected fraud, non-payment, a regulatory or bank instruction, or a breach. Either party may end this Agreement on 30 days’ written notice. When it ends, Customer stops using the platform and deletes its credentials and TaxWallet’s confidential information; fees already incurred remain due. Sections 5 to 9 and 12 to 14 survive.
12. Warranty Disclaimer; Limitation of Liability
Sections 10 and 11 of the Terms of Service apply to this Agreement. The platform and APIs are provided “as is” and “as available”; TaxWallet is not liable for indirect, incidental, special, consequential or punitive damages; and TaxWallet’s total liability for all claims is limited to the greater of the fees Customer paid TaxWallet in the 12 months before the claim or one hundred dollars (US$100).
13. Indemnity by Customer
Customer will defend, indemnify and hold harmless Tax Wallet Inc., its affiliates and their officers, directors, employees and agents from every claim, penalty, loss and cost, including attorneys’ fees and defense costs from the first notice of claim, arising from Customer’s returns, advice, fees, disclosures, conduct, data, consents, staff or systems, Customer’s breach of this Agreement or the law, and claims by Customer’s clients or regulators about Customer’s work. This adds to Section 12 of the Terms of Service.
14. Disputes: Notice, Courts, Jury Waiver and Fees
14.1 Pre-suit notice. Before filing any claim against TaxWallet, Customer must send a written Notice of Dispute to legal@taxwallet.ai and negotiate in good faith for 30 days, as Section 13 of the Terms of Service requires.
14.2 Time limit. Any claim must be brought within one (1) year after it arises (Section 14 of the Terms of Service).
14.3 Courts, not arbitration. Disputes between Customer and TaxWallet are not arbitrated. They are governed by Florida law and decided exclusively by the state courts of Miami-Dade County, Florida (Eleventh Judicial Circuit) or the U.S. District Court for the Southern District of Florida, Miami Division (Sections 15 and 18.10 of the Terms of Service). Customer may bring claims only in its individual capacity, not as a class member or in a representative action, to the extent the law allows.
14.4 JURY WAIVER. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY.
14.5 Attorneys’ fees. The prevailing party recovers its reasonable attorneys’ fees and costs, and the specific fee-shifting in Section 16.3 of the Terms of Service applies, including for claims filed in the wrong venue, claims about an Independent Provider’s or bank’s acts, time-barred claims and claims filed without the pre-suit notice.
14.6 Which document controls. This Section and Section 18 of the Terms of Service control over any arbitration or dispute provision in an earlier TaxWallet office, EFIN or partner document or policy page. A written agreement signed by both parties controls only if it expressly says it replaces this Section.
15. Acceptance and Records
By checking “I agree”, clicking to accept or using the credentials, the person accepting confirms that they have authority to bind Customer. TaxWallet records the accepting user, the entity, the date and time, the IP address and the version of this Agreement accepted.
16. Changes
TaxWallet may update this Agreement as Section 1.2 of the Terms of Service describes. The new version is posted here with its date and version number, and earlier versions stay readable.
