1. Acceptance of Terms
These Terms of Service (“Terms”, “Agreement”) constitute a legally binding contract between you (“User”, “Customer”, “Tax Professional”, “Firm”, or “you”) and TaxWallet (“Company”, “we”, “our”, “us”).
By accessing or using the TaxWallet website, mobile application, SaaS dashboard, integrations, APIs, merchant processing connections, or any related service (collectively, the “Platform”), you affirm that you:
- Have read, understood, and agreed to be bound by these Terms.
- Have authority to bind yourself and any entity you represent.
- Consent to electronic communications, electronic signatures, and the ESIGN Agreement.
If you do not agree to these Terms in full, you must immediately discontinue use of the Platform.
2. Scope of Services
The Platform provides workflow automation, e-signature, document management, communication tools, AI-assisted tax data extraction, e-file support, billing facilitation, and integrations for tax professionals and taxpayers.
TaxWallet does not provide tax advice, legal advice, financial advice, or filing guarantees.
You are solely responsible for:
- Accuracy of tax data, filings, client information, or financial information submitted.
- Compliance with federal, state, and local tax laws.
- Obtaining all required taxpayer consents before transmitting data through the Platform.
TaxWallet is not responsible for IRS rejections, penalties, bank product decisions, merchant processing disputes, or government compliance failures.
3. Eligibility & Account Registration
You must be at least 18 years old to create an account. Minors may only appear as dependents processed by a tax professional or guardian.
You must provide accurate and complete registration information and maintain security of your credentials.
You agree that all activities conducted under your account—including signatures, approvals, filings, messages, uploads, and API requests—are legally attributable to you.
You are solely responsible for securing devices, biometrics, access codes, and authentication methods used to access the Platform.
4. Platform Access, License & Restrictions
TaxWallet grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for lawful tax workflow operations.
You may not, under any circumstance:
- Reverse engineer, copy, resell, exploit, or create derivative works of the Platform.
- Access internal APIs, databases, or systems except through authorized public interfaces.
- Introduce malware, perform penetration testing, disrupt operations, or interfere with Platform security.
- Use the Platform to perform services for third parties outside the scope of tax preparation.
- Harvest data, scrape systems, or circumvent access controls.
All intellectual property—including but not limited to software, branding, workflows, automation engines, AI models, system architecture, mobile code, and proprietary processes—belongs solely to TaxWallet (built on Jadee’s system) and is protected under domestic and international laws.
5. Data Ownership & User Responsibilities
You retain ownership of data you upload. By submitting data to the Platform, you grant TaxWallet a license to process, transmit, store, copy, analyze, and use such data for:
- Providing Platform services.
- Security, fraud prevention, auditing, and compliance.
- AI-assisted tools and automated workflows.
You represent and warrant that:
- You have obtained all necessary consents from taxpayers, clients, and staff.
- Uploaded documents do not violate any law or third-party rights.
- You are responsible for verifying accuracy of data produced by OCR, AI, automated imports, integrations, or third-party systems.
TaxWallet disclaims all liability for errors originating from third-party data sources, user input, OCR extraction, or AI-generated suggestions.
6. Mobile App Usage
Use of the TaxWallet Mobile App includes collection of device metadata, device identifiers, crash logs, notification tokens, and optional biometric authentication events.
The mobile app may request user permissions for camera access (document scanning), notifications, file storage, and biometrics. Camera access is used only to scan tax documents and IDs—TaxWallet does not import or access personal photo libraries.
You acknowledge that signatures, approvals, and actions executed through the mobile app carry full legal force and effect under the ESIGN Disclosure.
7. Third-Party Services & Integrations
The Platform integrates with third-party vendors, including but not limited to:
- IRS e-file processors.
- Banking and refund transfer partners.
- Merchant processors for payment acceptance.
- Identity verification providers.
- AI engines, OCR services, and data extraction partners.
These third parties operate independently from TaxWallet.
TaxWallet is not responsible for:
- Outages, delays, errors, or rejections caused by third-party systems.
- Bank product approvals, denials, fees, or refund delays.
- Merchant account fraud, chargebacks, disputes, or compliance actions.
- Data breaches or misuse occurring within third-party systems not controlled by TaxWallet.
You expressly agree that all financial transactions routed through third-party merchant processors are strictly between you and the merchant processor, and TaxWallet bears no liability for any fraudulent charges, disputes, losses, or damages.
8. Payment Terms
Paid subscriptions, billing plans, and usage fees must be paid in accordance with posted pricing.
Fees are non-refundable unless explicitly stated in the Billing & Refund Policy.
TaxWallet may pause, throttle, restrict, or terminate access for unpaid invoices or disputed payments.
9. Prohibited Uses
You may NOT use the Platform to:
- Commit fraud, identity theft, data harvesting, or unauthorized tax filing.
- Process returns without obtaining taxpayer authorization.
- Circumvent e-file requirements or IRS identity verification rules.
- Store or transmit malware, illegal content, or prohibited financial information.
- Engage in abusive, deceptive, or unlawful business practices.
Violation of these restrictions may result in immediate termination and referral to applicable authorities.
10. AI, Automation & OCR Disclaimers
AI-based tools, automated workflows, OCR parsing, predictive analytics, and auto-fill features are provided AS-IS and without warranty.
AI-generated outputs may contain inaccuracies, errors, or omissions.
You are fully responsible for reviewing and validating all data, calculations, and documents before use.
TaxWallet is not liable for damages arising from reliance on AI-driven or automated outputs.
11. Intellectual Property & Proprietary Rights
All system architecture, code, features, documentation, workflows, branding, automation engines, integrations, AI models, data structures, and design elements are the exclusive property of TaxWallet, built on the proprietary systems and foundational technologies of Jadee.
Unauthorized copying, distribution, reuse, reconstruction, or competitive analysis is strictly prohibited.
All rights not expressly granted are reserved.
12. Disclaimers of Warranties
The Platform is provided AS-IS and AS-AVAILABLE, without warranties of any kind, express or implied.
TaxWallet does not warrant that:
- The Platform will be error-free, uninterrupted, or secure.
- Data will not be lost, corrupted, intercepted, or inaccessible.
- AI or automation features will produce accurate or complete results.
- Third-party services will remain functional or compliant.
You use the Platform at your own risk.
13. Limitation of Liability
To the maximum extent permitted by law, TaxWallet disclaims all liability for indirect, incidental, consequential, punitive, or special damages, including loss of profits, loss of data, business interruption, tax penalties, e-file delays, or third-party actions.
TaxWallet’s total liability for any claim arising out of or relating to the Platform shall not exceed the lesser of:
- The total fees paid to TaxWallet during the preceding twelve (12) months, OR
- One hundred dollars ($100).
You agree that this limitation is fundamental to the bargain between you and TaxWallet.
14. Indemnification
You agree to indemnify, defend, and hold harmless TaxWallet, Jadee, affiliates, officers, contractors, partners, and employees from any claim, liability, damages, losses, or expenses arising out of:
- Your misuse of the Platform.
- Violations of laws or regulations.
- Errors in tax filings or client data.
- Third-party disputes, including merchant processing issues.
- Unauthorized access caused by your negligence.
- Claims arising from AI-assisted document processing or automated tools.
15. Arbitration Agreement & Class-Action Waiver
All disputes shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA).
You waive all rights to:
- Jury trials.
- Class actions.
- Mass actions.
- Private attorney-general actions.
Arbitration shall be individual only and shall not be consolidated with any other proceeding.
16. Termination
TaxWallet may suspend or terminate your access immediately for:
- Violations of these Terms.
- Suspected fraud or unauthorized activity.
- Non-payment or disputes of fees.
- Legal requirements or regulatory concerns.
Upon termination, all licenses granted to you end immediately.
17. Changes to These Terms
TaxWallet may update these Terms at any time.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
