1. Guaranty of Payment
As an owner, officer, or principal of the office (“Office”), you (“Guarantor”) personally, absolutely, unconditionally, and irrevocably guarantee the full and prompt payment of all amounts the Office owes to TaxWallet, including subscription, license, usage, per-return, and add-on fees, past-due balances, chargeback and reversal amounts, NSF and recovery fees, interest, and costs of collection including reasonable attorneys’ fees (the “Obligations”).
2. Guaranty of Payment, Not Collection
This is a guaranty of payment and not merely of collection. TaxWallet may demand payment from you without first proceeding against the Office, exhausting remedies, or realizing on any collateral. Your obligations are continuing and remain until all Obligations are paid in full, and are joint and several with any other guarantor.
3. Payment Recovery Authorization
You authorize TaxWallet to recover guaranteed amounts through any payment method or bank account you or the Office has placed on file under an ACH Debit Authorization, subject to that authorization’s terms, and you remain liable for any deficiency.
4. Waivers
To the maximum extent permitted by law, you waive notice of acceptance, presentment, demand, protest, dishonor, and notice of default, and consent to modifications, extensions, renewals, and settlements of the Obligations without notice and without release. Your liability is unaffected by any change in the Office’s plan, ownership, or structure, or by the unenforceability of any Obligation against the Office.
5. Costs; Governing Law; Jury Waiver
You agree to pay TaxWallet’s reasonable costs of collection and enforcement, including attorneys’ fees. This Guaranty is governed by the laws of the State of Florida, is subject to the Arbitration Agreement & Class-Action Waiver (binding AAA arbitration under the Federal Arbitration Act, 9 U.S.C. §§1–16) with exclusive non-arbitrable venue in Miami-Dade County, Florida, and you waive any right to a jury trial.
6. Incorporation; Contact
This Guaranty incorporates the Tax Software & Service Bureau Agreement and the ACH Debit Authorization.
