1. Authorization to Debit
By enrolling a bank account and accepting this Agreement, you authorize Tax Wallet Inc. (“we,” “us”) to initiate electronic debit entries (ACH), and where applicable one-time or recurring card debits, against the account you designate (the “Account”) through the Automated Clearing House network, in accordance with the NACHA Operating Rules and the Electronic Fund Transfer Act (15 U.S.C. §1693) and Regulation E (12 CFR Part 1005).
You represent that you are an authorized signer on the Account and that the routing and account information is accurate. Online or telephone authorizations constitute WEB or TEL entries under the NACHA Rules.
2. Obligations Covered
You authorize debits for all amounts owed in connection with the Service, including:
- Subscription, license, and per-return fees (monthly, annual, or per-transaction);
- Usage-based fees (e-signature, SMS, AI, banking modules, add-ons);
- Setup, activation, and reactivation fees;
- Past-due, outstanding, or delinquent balances accrued while using the Service;
- Chargeback, reversal, and administrative recovery fees;
- Returned-item / NSF fees (Section 6);
- Any balance a taxpayer owes to a participating office or to TaxWallet remaining after a refund transfer or advance is applied.
3. Offices and Taxpayers; Weekly Settlement
Offices: You authorize recurring and on-demand debits for all software, license, usage, and recovery amounts. Consistent with our long-standing practice, fees incurred during a season may be settled weekly against the default payment method on file.
Taxpayers: Where your fees are not fully satisfied from a refund transfer or advance — including where a refund is reduced, delayed, or offset — you authorize TaxWallet or the participating office to debit the Account for the remaining balance.
4. Fixed and Variable Debits; Advance Notice (NACHA)
Fixed recurring debits (e.g., a set subscription) occur without further notice. For variable debits whose amount changes, we will send notice of the amount and date at least ten (10) calendar days before the debit, as required by the NACHA Rules, unless you elect notice only when an amount falls outside a pre-agreed range.
5. Timing
Debits are initiated on the applicable billing or due date; if that date is a weekend or bank holiday, the debit may be initiated on the next business day. You must maintain sufficient available funds on each scheduled date.
6. Insufficient Funds, Re-Presentment & NSF Fees
If a debit is returned (insufficient funds, closed account, or otherwise), you authorize us to re-present it as permitted by the NACHA Rules (generally up to two additional times, plus a separate collection of any associated fee).
You authorize a returned-item / NSF fee up to the maximum permitted by applicable law (see U.C.C. Arts. 3–4) for each returned debit. Repeated failures may result in suspension, recovery fees, acceleration of the balance, and referral to collections.
7. Right of Setoff and Application
To the extent permitted by law, you grant TaxWallet the right to apply and set off any funds it collects or holds on your behalf (including Add-On Fees, incentives, or refund-transfer proceeds) against amounts you owe, before disbursing any remainder.
8. Revocation; Survival of Debt
This authorization remains in effect until revoked. To revoke, send written notice to support@taxwallet.ai (or update payment settings) at least three (3) business days before the next scheduled debit.
Revocation does not extinguish amounts already owed. Upon revocation while a balance is outstanding, that balance is immediately due by another method, and we may suspend the Service, accelerate the debt, and pursue collection and reasonable attorneys’ fees.
9. Consumer Rights (Regulation E)
For consumer accounts, debits are governed by the EFTA and Regulation E. You may stop payment on a preauthorized debit by notifying your bank at least three business days before the scheduled date. If you believe a debit was made in error, contact us and your bank promptly; you may be entitled to error investigation and correction under 12 CFR Part 1005.
10. Business Accounts
If the Account is a business account, Regulation E and NACHA consumer re-credit rights do not apply, and you waive consumer-specific ACH protections to the fullest extent permitted by law.
11. Data Security
Bank credentials are encrypted and tokenized; TaxWallet stores only what is necessary to originate authorized debits and does not expose full account numbers to staff, consistent with the GLBA Safeguards Rule (16 CFR Part 314) and our Security Policy.
12. Changes; Contact
We may update this Agreement prospectively with notice by email or in-app. Continued use and maintenance of an Account on file constitutes acceptance.
