1. Overview
TaxWallet integrates with external service providers (“Third-Party Providers”) solely for the convenience of tax professionals and taxpayers. These may include payment processors, merchant accounts, banking partners, refund transfer institutions, identity verification systems, e-signature platforms, and operational automation tools.
By using any third-party integration within TaxWallet, the user acknowledges and agrees that such integrations are operated independently from TaxWallet and that TaxWallet has no ownership, control, or operational authority over those services.
2. Merchant Processing Disclaimer (Critical Notice)
TaxWallet is not a payment processor and is not the merchant of record for transactions initiated by users, taxpayers, or firms.
When connecting a merchant account (Authorize.net, PaySafe, IntellyPay, Pathward, Stripe, Square, or any future provider):
- The user is solely responsible for compliance with their merchant provider’s terms;
- The user assumes full financial liability for fraud, chargebacks, reversals, disputes, unauthorized transactions, ACH failures, NSF events, or customer-initiated disputes;
- TaxWallet does not resolve, mediate, or participate in merchant disputes;
- TaxWallet does not store CVV data and never handles unencrypted PAN details;
- TaxWallet does not guarantee transaction processing timeframes or approvals.
3. Data Flow & Encryption Responsibilities
When users process client payments, the transaction data is encrypted end-to-end and transmitted directly to the merchant processor.
TaxWallet may store encrypted cardholder data only when the user explicitly enables card vaulting, and such data:
- Is encrypted using user-derived encryption keys;
- Cannot be decrypted by TaxWallet personnel;
- Is accessible only by the requesting authenticated user or office;
- May generate secure tokenized identifiers (“wallet IDs”) for repeat charges.
Under no circumstances does TaxWallet store CVV codes, raw PAN details, or unencrypted cardholder data.
4. No Liability for Processor or Banking Delays
TaxWallet is not liable for:
- Processor delays or funding reversals;
- Merchant account freezes or compliance reviews;
- Banking institution denials, holds, or investigations;
- ACH settlement delays, rejected deposits, or verification failures;
- Refund transfer delays caused by third-party banks;
- API service degradation or downtime caused by external providers.
All timing, settlement, approval, and funding decisions rest exclusively with the user’s chosen merchant processor or banking partner.
5. No Financial Guarantees or Representations
TaxWallet makes no guarantees regarding:
- Transaction success rates;
- Chargeback outcomes;
- Merchant underwriting approvals;
- Banking partner approval decisions;
- Settlement timeframes or availability of funds;
- Interest fees, service charges, or compliance penalties assessed by third parties.
Users assume all risks associated with their own payment acceptance methods and merchant processing practices.
6. Customer Responsibility for Third-Party Compliance
Users agree that they are solely responsible for complying with:
- PCI DSS requirements imposed by their merchant processor;
- Identity verification, KYC, AML, and fraud-prevention obligations;
- Any laws related to electronic payments, refunds, or consumer billing;
- Their own agreements with banking and merchant providers;
- Regulatory frameworks governing tax preparation and financial transactions.
TaxWallet does not provide legal, regulatory, or merchant compliance advice.
7. API, AI, and Partner Integration Disclaimer
TaxWallet may integrate with IRS systems, e-file providers, OCR/AI services, hosting infrastructure, and banking APIs.
By using these features, users acknowledge:
- Third-party outages or throttling may impact performance;
- AI outputs may be incomplete, inaccurate, or unsuitable without human verification;
- IRS or state systems may reject or delay returns outside of TaxWallet’s control;
- Bank partners may modify workflows or requirements without notice;
- TaxWallet is not responsible for errors originating from external services.
Users must independently verify all tax information, documents, and AI-generated outputs.
8. Mobile App Integrations
TaxWallet’s mobile applications interact with device-level APIs for secure storage, camera access, biometric authentication, and encrypted local storage.
TaxWallet does not:
- Track users across apps or websites;
- Access device contacts or messages;
- Collect App Tracking Transparency (ATT) identifiers;
- Sell or share mobile telemetry data.
Users are responsible for securing their own devices, passcodes, biometrics, and app access.
9. No Agency or Partnership Created
Use of integrations does not create any of the following relationships between TaxWallet and the user or any provider:
- Joint venture,
- Partnership,
- Agency,
- Fiduciary duty,
- Co-branding or shared liability agreement.
TaxWallet is strictly a software platform and assumes zero financial or legal responsibility for third-party actions or decisions.
10. Indemnification (Maximum Strength)
Users agree to fully indemnify, defend, and hold harmless TaxWallet, Jadee, its officers, employees, contractors, and affiliates from any claim, dispute, loss, regulatory action, chargeback, penalty, or financial harm arising from:
- Merchant account use;
- Third-party banking or refund transfer activities;
- API or integration misuse;
- Data errors submitted by the user;
- Taxpayer disputes over charges;
- Fraudulent or unauthorized transactions initiated on the user’s account.
This indemnification obligation survives termination of all accounts indefinitely.
11. Updates to This Disclaimer
TaxWallet may update this Disclaimer at any time to reflect evolving integrations, legal frameworks, banking requirements, and security standards.
Material changes may be communicated via dashboard, email, or in-app notifications.
Continued use of third-party integrations constitutes acceptance of the revised Disclaimer.
