1. Purpose & Scope
This Merchant Processing Addendum (“MPA”) applies to all TaxWallet users who connect or use any external merchant processing account, gateway, or payment acceptance system, including but not limited to Authorize.net, IntellyPay, PaySafe, Pathward Bank (ePay), Stripe, Square, PayPal, or any processor added in the future.
This MPA supplements the Terms of Service and Billing Policy. In the event of conflict, the most protective clause for TaxWallet shall prevail.
2. TaxWallet Is NOT a Payment Processor
TaxWallet is not a payment processor and is not the merchant of record for any transaction.
All payment transactions initiated within the TaxWallet Platform are processed exclusively by the merchant account the user chooses to connect.
The user is solely responsible for maintaining compliance with their merchant processor’s terms, underwriting requirements, fraud rules, and chargeback procedures.
3. Complete Transfer of Financial Liability to the User
By using merchant processing features, the user accepts 100% financial liability for any and all payment activity initiated through the Platform, including:
- Chargebacks and representments;
- Fraudulent client payments (intentional or unintentional);
- Returns, reversals, ACH failures, NSF transactions;
- Claims of unauthorized charges or billing disputes;
- Stolen credit card usage or payment card abuse;
- Processor compliance violations;
- PCI failures or account terminations;
- Any costs imposed by processors, banks, or card networks (Visa, Mastercard, Amex, Discover).
TaxWallet bears zero financial responsibility for any loss arising from user payment activity.
4. Encrypted Storage of Payment Data
TaxWallet may store encrypted cardholder data for vaulting and re-use only when explicitly initiated by the user.
Cardholder data storage rules:
- No CVV is ever stored by TaxWallet under any circumstances;
- Full card details are encrypted using a key derived from the user’s own authentication credentials;
- TaxWallet cannot decrypt these details, even internally; access requires authenticated user action;
- Repeat billing uses a token (“Wallet ID”) provided by the merchant processor;
- TaxWallet never sees raw card data during transmission or re-use.
5. No Liability for Transaction Failures or Funding Delays
TaxWallet is not responsible for:
- Settlement delays;
- Processor investigations or freezes;
- Banking partner holds or compliance reviews;
- Declined transactions or approval errors;
- Processor outages, API errors, or downtime;
- Refund transfer timing, denials, or delays;
- Any financial institution’s underwriting decisions.
All funding and timing decisions belong strictly to your merchant processor or banking partner.
6. User Responsibilities
Users acknowledge and agree that they are solely responsible for:
- Fraud prevention and chargeback management;
- Verifying customer identity before initiating charges;
- Maintaining PCI compliance as required by their processor;
- Monitoring payment activity for suspicious behavior;
- Correctly formatting and transmitting transaction data;
- Maintaining accurate customer billing information;
- Ensuring refunds, corrections, or voids are properly executed through their processor.
TaxWallet does not monitor or validate payment transactions on behalf of the user.
7. No Mediation, No Arbitration Assistance, No Dispute Support
TaxWallet does not provide:
- Chargeback dispute guidance;
- Processor mediation;
- Legal support for payment claims;
- Representation in merchant-related disputes;
- Arbitration assistance with processors or banks.
All disputes must be handled directly between the user, their client, and their merchant processor.
8. Indemnification (Maximum Strength)
The user agrees to fully indemnify, defend, and hold harmless TaxWallet, Jadee, its officers, partners, affiliates, contractors, and employees from any claim, loss, fine, penalty, chargeback, processor fee, legal cost, or dispute arising from:
- Payment transactions initiated on the Platform;
- Any merchant processing integration;
- Misuse of vaulting or stored payment tokens;
- Fraudulent or unauthorized user activity;
- Regulatory or compliance violations involving the user’s merchant account.
This indemnification obligation survives termination of the user’s account and remains active indefinitely.
9. Relationship Disclaimer
Using a merchant integration on TaxWallet does not create any agency, joint venture, co-merchant agreement, partnership, or shared financial responsibility between TaxWallet and the user.
The user is the sole merchant of record and assumes all obligations associated with that role.
10. No Guarantee of Compatibility or Availability
TaxWallet does not guarantee uninterrupted availability of merchant integrations.
Processors may change APIs or requirements without notice.
TaxWallet may discontinue or modify integrations at any time without liability.
11. Updates to This Addendum
TaxWallet may update this MPA at any time to reflect regulatory needs, security standards, processor changes, or business requirements.
Changes become effective immediately upon publication.
Continued use of merchant features constitutes acceptance of updated terms.
