1. Ownership of the Platform and Technology
TaxWallet, including its dashboard, website, mobile applications, backend systems, AI engines, workflow automations, integrations, communication modules, and all related technologies (collectively, the “Platform”), is the exclusive property of TaxWallet, LLC and its creator, architect, and principal system developer, Jadee.
All intellectual property rights—including copyrights, trademarks, trade secrets, patents (filed or unfiled), proprietary algorithms, system schematics, and internal tooling—are owned exclusively by TaxWallet and/or Jadee.
No ownership rights are transferred to users under any circumstances.
2. Copyright & Proprietary Rights
All content, architecture, code, logic, UI/UX design, layout, branding, documentation, workflows, and data models on the Platform are protected under applicable copyright laws and international IP treaties.
This includes but is not limited to:
- Source code and compiled code, whether visible or obfuscated;
- API schemas, endpoints, request/response structures, and metadata formatting;
- Encryption workflows, e-sign flow structures, notification systems, and return-tracking automation;
- UI layouts, component architecture, animations, branding elements, and visual identity.
Users are granted no rights other than a limited, revocable license to access the Platform.
3. Trademarks & Brand Identity
“TaxWallet”, the TaxWallet logo, product names, service names, dashboards, and all related branding are trademarks or service marks of TaxWallet and/or Jadee.
Users may not copy, imitate, modify, remove, obscure, register, or challenge any TaxWallet trademarks, logos, or branding elements.
Any attempt to create confusingly similar marks or services is strictly prohibited.
4. Trade Secrets & Confidential Technology
The Platform includes proprietary trade secrets, including but not limited to:
- Internal workflow automation systems,
- AI-generated document processing logic,
- Data transformation pipelines,
- Fraud detection models,
- Identity verification flows,
- Multi-office orchestration logic,
- Encryption key management tied to user identity,
- Mobile device binding algorithms.
Users acknowledge that TaxWallet’s internal logic constitutes confidential trade secret information.
Any attempt to access, view, decode, extract, or replicate such systems constitutes a violation of federal and state trade secret laws (including the Defend Trade Secrets Act).
5. Restrictions on Use
Users may NOT, under any circumstances:
- Reverse engineer, decompile, disassemble, or derive source code from any portion of the Platform;
- Copy, modify, duplicate, or create derivative works of any kind;
- Bypass, disable, or interfere with security features, access controls, or encryption;
- Scrape, harvest, or automate extraction of Platform data or metadata;
- Clone or replicate Platform UI/UX, workflows, API logic, or business processes;
- Use the Platform to create a competing product, workflow engine, or tax preparation software;
- Remove, alter, or obscure copyright or trademark notices;
- Access internal APIs, private endpoints, or developer tools without explicit contractual permission.
Violation of these restrictions may result in immediate termination, legal action, and damages.
6. License Granted to Users
Users receive a limited, non-exclusive, non-transferable, revocable license solely to access and use the Platform for lawful tax preparation and operational purposes.
This license does not grant:
- Rights to source code,
- Rights to underlying technology or intellectual property,
- Rights to reproduce or distribute the Platform in any form.
The license is automatically revoked upon misuse, attempted copying, or violation of any terms herein.
7. AI Systems, Automation, and Workflow Protection
TaxWallet’s AI engines, workflow automation logic, document classification systems, return status engines, taxpayer messaging infrastructure, and predictive algorithms are proprietary inventions protected under copyright and trade secret laws.
Users have no right to:
- Reproduce AI outputs for training competing models,
- Extract or reverse engineer AI logic, prompts, or training data,
- Monitor, intercept, or interfere with AI-to-user or AI-to-system communications.
All AI and automation features constitute TaxWallet intellectual property whether or not the outputs are visible to the user.
8. Integrations & Third-Party Modules
TaxWallet integrates with secure third-party systems for:
- Merchant processing,
- Banking/refund transfers,
- E-signature workflows,
- Identity verification,
- IRS/state e-file transmission.
All integration logic, connection handling, API token orchestration, and request sequencing constitute proprietary technology.
Users may not inspect, mimic, or replicate integration logic or API behavior.
9. Feedback, Suggestions, and Contributions
Any feedback, ideas, modifications, improvements, or suggestions that users provide to TaxWallet immediately become the exclusive property of TaxWallet and/or Jadee.
Users waive all rights to compensation or ownership claims.
No submission shall create any IP rights for the user.
10. Enforcement & Remedies
Any breach of this Intellectual Property Notice constitutes irreparable harm and entitles TaxWallet and/or Jadee to seek:
- Immediate injunctive relief,
- Recovery of damages,
- Attorney’s fees and expert costs,
- Permanent termination of access.
TaxWallet may also pursue claims under the Defend Trade Secrets Act (DTSA), Computer Fraud and Abuse Act (CFAA), and applicable state and federal laws.
11. Survival
This Intellectual Property Notice survives:
- Account termination,
- Subscription cancellation,
- Platform discontinuation.
Users remain legally bound not to misuse, copy, or replicate TaxWallet technologies after leaving the platform.
