1. Overview of ESIGN Consent
This Electronic Signature Disclosure & Consent Agreement (“ESIGN Disclosure”, “Agreement”) applies to all electronic signatures, approvals, acknowledgements, communications, disclosures, notices, authorizations, and records you execute or receive using the TaxWallet Platform, including the TaxWallet Dashboard, the TaxWallet Mobile Application, API integrations, automated workflows, and any third-party systems connected through the Platform.
By continuing to use the Platform, you consent to conducting all business electronically, including signing documents, authorizing filings, approving transactions, providing verifications, receiving regulatory notices, and completing compliance acknowledgments.
This Agreement is legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), IRS Publication 1345, GLBA, and all applicable federal and state laws governing digital signatures and electronic records.
2. Scope of Electronic Signatures
Electronic signatures executed on the Platform apply to, without limitation:
- Tax documents, returns, authorizations, and disclosures.
- IRS Forms including but not limited to 8879, 7216, W-9, W-2, 1099, 1040 authorization workflows, bank product agreements, refund transfer agreements, and consent forms.
- Identity verification approvals, compliance affirmations, and KYC/AML confirmations.
- Billing authorizations, merchant processor agreements, charges, and fee acknowledgments.
- E-filing consents, data processing instructions, onboarding confirmations, and account settings changes.
- All communications routed through the Platform (web, mobile, SMS, push notifications).
3. Legal Effect of Electronic Signatures
Your electronic signature carries the same legal force and effect as a handwritten signature on paper.
By providing an electronic signature through the Platform, you expressly:
- Agree the signature is valid, enforceable, attributable to you, and binding.
- Waive any objection based on the fact the record is digital or electronic.
- Agree that all versions of an electronically signed document stored by TaxWallet constitute the official record.
- Accept responsibility for securing your login credentials, device, biometric authentication, and access controls.
TaxWallet retains the exclusive right to maintain audit logs, signature metadata, timestamps, IP logs, geolocation identifiers (as permitted by law), device IDs, and fingerprinting records necessary to authenticate and enforce electronic signatures.
4. Technology Used to Capture Electronic Signatures
Signatures and approvals executed within the Platform may be collected using any of the following methods:
- Button presses or tap-to-sign acknowledgements.
- Typed names, initials, or drawn signatures.
- Biometric authentication events (Face ID, Touch ID, fingerprint authentication).
- Pin entries, password confirmations, multi-factor authentication, and OTP confirmations.
- Digital certificates or cryptographic signature mechanisms where supported.
You acknowledge that any action taken while authenticated to your account—including but not limited to pressing “Sign”, “Approve”, “Submit”, “Authorize”, or similar—is deemed a valid and intentional electronic signature attributable to you.
5. Attribution & User Responsibility
Any electronic signature executed through your authenticated account is conclusively presumed to be executed by you, regardless of:
- Device used.
- Location at time of signature.
- Whether a third party accessed your device or account credentials.
You are solely responsible for maintaining the confidentiality of your credentials, biometric settings, device security, and access controls.
TaxWallet is not liable for unauthorized access or signatures caused by your negligence, failure to secure your device, failure to protect login credentials, or misuse by any third party.
6. Electronic Delivery of Records
By using the Platform, you consent to receiving all documents, agreements, notices, disclosures, updates, tax documents, regulatory alerts, and communications electronically through:
- The web dashboard.
- The mobile application.
- Email.
- SMS.
- Push notifications.
- API-integrated systems.
You acknowledge that:
- You have the ability to view, download, and retain electronic documents.
- You understand how to access the necessary hardware/software to retrieve electronic records (mobile device, browser, PDF reader).
- You may request paper copies but TaxWallet is not required to provide them unless mandated by law.
7. Consent to Automated & AI-Assisted Processing
You acknowledge and authorize TaxWallet to utilize OCR, AI-assisted parsing, automated document analysis, workflow automation, identity matching, fraud detection models, and data extraction tools as part of the signature and approval process.
AI-generated suggestions, interpretations, or extracted content are not legal, tax, or financial advice. You remain responsible for reviewing all documents and ensuring accuracy prior to signing.
TaxWallet disclaims all liability arising from reliance on AI-generated or automated outputs.
8. Integration With Third-Party Systems
Your electronic signatures may be shared with or transmitted through integrated third-party systems—including IRS e-file processors, banking partners, e-signature verification providers, merchant processors, audit trail systems, and compliance vendors.
You authorize the Platform to transmit any signature, document, metadata, audit trail, or verification record required to complete a filing, transaction, or authorization.
TaxWallet does not control and is not responsible for third-party system failures, outages, rejected signatures, merchant disputes, chargebacks, or compliance actions initiated by integrated partners.
9. Withdrawal of Consent
You may withdraw your ESIGN consent at any time by contacting support@taxwallet.ai.
Upon withdrawal:
- Your account may be restricted or disabled.
- You may be unable to e-sign forms, authorize filings, or use essential features.
- TaxWallet is not responsible for delays, filing errors, penalties, or compliance failures caused by your withdrawal.
Withdrawal does not invalidate signatures previously executed electronically.
10. Storage, Retention & Audit Trails
TaxWallet maintains signature logs, metadata, timestamped audit trails, document hashes, cryptographic verifications (where applicable), device fingerprints, and version histories necessary to authenticate electronic signatures.
Records may be retained for the duration required by IRS regulations, FTC Safeguards Rule, GLBA, contractual obligations, and fraud-prevention requirements.
TaxWallet may provide copies of signed documents and audit trails to tax professionals, banking partners, regulators, or law enforcement when required by law or contractual obligation.
11. No Paper Requirement
You agree that TaxWallet is not required to provide paper copies of documents except where required by law.
If you request a paper copy and applicable law requires TaxWallet to provide one, processing fees may apply.
12. Device Requirements
To access and retain electronic documents, you must maintain a compatible mobile device or computer capable of:
- Running the TaxWallet mobile application or accessing the dashboard.
- Receiving SMS or email notifications.
- Viewing PDF documents.
- Running updated operating systems and security patches.
TaxWallet is not responsible for your failure to maintain compatible hardware or software.
13. Arbitration, Waivers, and Liability Limitations
All disputes arising from electronic signatures shall be resolved exclusively through binding arbitration on an individual basis. Class actions, mass actions, jury trials, and consolidated proceedings are expressly waived.
TaxWallet’s total liability relating to electronic signatures, digital records, approval actions, or audit trails is limited to the lesser of (i) the total fees paid to TaxWallet in the preceding twelve (12) months or (ii) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless TaxWallet, Jadee, its officers, employees, contractors, and partners from all claims arising out of your use of electronic signatures, including unauthorized access resulting from your device, credential misuse, or negligence.
14. Acceptance of Terms
By accessing or using any part of the Platform—including the mobile application—you affirm that:
- You have read this ESIGN Disclosure and fully understand your rights.
- You consent to doing business electronically.
- You agree all electronic signatures are binding, enforceable, and attributable to you.
- You waive any legal argument challenging the validity or enforceability of electronic signatures.
- You understand that TaxWallet maintains audit trails and device metadata as part of signature enforcement.
If you do not agree, you must immediately discontinue use of the Platform.
